These Terms of Service (“Terms”) govern your access to and use of the WellDuel platform, including our mobile applications, websites, products, features, software, APIs, and related services (collectively, the “Services”).

These Terms incorporate by reference our Privacy Policy and any additional policies, rules, or guidelines posted within the Services, including challenge rules and community standards, if any.

If you reside in the United States, the Services are provided by WellDuel LLC, a Delaware limited liability company (“WellDuel,” “we,” “us,” or “our”).

1. Agreement

These Terms constitute a binding legal agreement between you and WellDuel. By accessing, using, or creating an account for the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

If you use the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, “you” refers to the entity.

2. Accounts Age Eligibility

The Services are intended for individuals who are at least 13 years old, or a higher minimum age if required by applicable law. If you are under the legal age to form a binding contract in your jurisdiction, you may use the Services only with the consent and supervision of a parent or legal guardian.

Account Registration

To use the Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information (“Account Data”);
  • Keep your Account Data up to date;
  • Maintain only one personal account unless we approve otherwise;
  • Keep your login credentials confidential and secure; and
  • Ensure that any activity data, challenge participation, or submissions reflect your authentic activity and are not manipulated, falsified, or misleading.

We may suspend or terminate accounts that violate these Terms or our policies.

Account Security

You are responsible for all activity that occurs under your account. You must notify us promptly if you believe your account has been accessed without authorization.

Third-Party Integrations

The Services may allow you to connect third-party platforms, devices, or applications (such as Apple Health, Google Fit, or wearable devices). If you connect third-party services:

  • You authorize WellDuel to access and use the data you choose to share;
  • Your use of those services remains subject to their own terms and policies; and
  • WellDuel is not responsible for the availability, accuracy, or reliability of third-party services or data.

3. Fees and Payment

Plans and Access

WellDuel offers both free and paid access to the Services.

  • Free Access: You may enroll in up to two (2) challenges at a time, as defined by WellDuel, unless otherwise stated.
  • Paid Access: A paid subscription allows unlimited challenge enrollments during the active subscription term.

We may modify plan features, availability, or limits at any time, except where prohibited by law.

Pricing

Paid access is available for $50 per year, plus applicable taxes (“Subscription Fee”). Any pricing changes will apply at renewal unless otherwise stated and permitted by law.

Payment and Renewal

By subscribing, you authorize WellDuel and our payment processors to charge your selected payment method on a recurring annual basis until you cancel.

If you subscribe through the Apple App Store or Google Play, billing and cancellation are governed by the applicable app store’s terms.

Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of your current annual term. Unless required by law, fees are non-refundable, and we do not provide prorated refunds.

4. Beta Features

We may offer certain features as beta, early-access, or experimental functionality (“Beta Features”). Beta Features may be incomplete, inaccurate, or change without notice. You use Beta Features at your own risk.

5. Ownership of Content

“Content” includes any information or materials you submit or make available through the Services, including text, images, messages, challenge entries, and health or activity data synced from connected sources.

You retain ownership of your Content. You represent and warrant that you have all rights necessary to submit your Content and that it does not infringe or violate the rights of any third party.

6. License to Use Content

To operate and improve the Services, you grant WellDuel a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, process, reproduce, display, and distribute your Content as necessary to provide features such as scoring, leaderboards, analytics, and challenge results.

This license generally ends when you delete your Content or account, except where retention is required for legal, security, fraud prevention, dispute resolution, or legitimate business purposes, or where aggregated or de-identified data has been created.

7. Feedback

If you submit feedback, ideas, or suggestions, you grant WellDuel a perpetual, irrevocable, worldwide, royalty-free license to use such feedback for any purpose without compensation.

8. Content, Conduct, and Accuracy

You are solely responsible for your Content and conduct. We do not endorse user Content and do not guarantee its accuracy, completeness, or suitability. We may remove Content or restrict accounts that violate these Terms or our policies.

WellDuel does not guarantee the accuracy of metrics, scores, rankings, or challenge results, which may be affected by device limitations, synchronization delays, user input, or third-party data sources.

9. Health, Activity, and Competition Disclaimer

You are solely responsible for your health decisions and physical activity. While the Services may include competition, insights, or summaries, WellDuel does not provide medical advice.

Information provided through the Services is for informational and motivational purposes only and is not a substitute for professional medical advice. You should consult a qualified healthcare professional before making health or fitness decisions and should never disregard or delay medical advice because of information provided through the Services.

10. Privacy Controls

Your use of the Services is governed by our Privacy Policy and your selected privacy settings. You are responsible for understanding what information you share and what may be visible to others.

11. Personalization

We may personalize the Services, including suggested challenges, insights, summaries, or ordering of content, based on your activity, engagement, and preferences, as described in our Privacy Policy.

12. Personal Use

The Services are for personal, non-commercial use unless we expressly agree otherwise in writing. You may not resell access, scrape the Services, automate data collection, or use the Services to develop or operate a competing product.

13. Third-Party Products and Services

We may link to or integrate with third-party products or services. We are not responsible for third-party offerings, including their accuracy, availability, or compatibility with the Services.

14. Communications

Communications you send through the Services are your Content. We may review communications as necessary for safety, moderation, or legal compliance. Electronic communications satisfy legal notice requirements.

15. Interactions with Other Users

We are not responsible for interactions between users and do not verify identity, credentials, or background. Use common sense and good judgment when interacting with others.

16. Groups, Teams, and Leagues

If you create or administer a group, team, or league, you are responsible for compliance with these Terms and for having rights to all related Content. We may remove content or transfer control at our discretion.

17. Proprietary Rights

The Services, including software, scoring systems, leaderboards, and design elements, are owned by WellDuel and protected by intellectual property laws. You receive a limited, revocable license to use the Services in accordance with these Terms.

18. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WELLDUEL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WELLDUEL SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

WELLDUEL’S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF:

  • $50, or
  • The amount you paid WellDuel in the 12 months preceding the event giving rise to the claim.

20. Indemnification

You agree to indemnify and hold harmless WellDuel and its affiliates from claims arising out of your Content, your use of the Services, or your violation of these Terms or applicable law.

21. Governing Law and Venue

These Terms and any dispute arising out of or relating to the Services are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. You agree that any legal action shall be brought in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.

22. Termination

We may, in our sole discretion, suspend or terminate your access to the Services for violations, legal compliance, security concerns, inactivity, nonpayment, or discontinuation of the Services. You may stop using the Services at any time.

23. Changes to the Services or Terms

We may update these Terms or modify the Services from time to time. Material changes will be communicated in advance where required. Continued use of the Services after changes take effect constitutes acceptance.
